(\ldblquote Cloudmark\rdblquote ) for the Cloudmark Software Product(s) available via the Cloudmark Beta Test website, which includes computer software, documentation and related online services (the \ldblquote Software\rdblquote ). This Agreement grants you limited rights to use and participate in a by-invitation only beta Software test campaign.
\par BY INSTALLING, COPYING, OR OTHERWISE USING THE SOFTWARE, USER ACKNOWLEDGES THAT IT HAS READ AND UNDERSTANDS THIS AGREEMENT AND AGREES TO THE TERMS OF THIS NON-DISCLOSURE AGREEMENT ("NDA") and LICENSE GRANT ("LICENSE"). YOUR ACCEPTANCE OF ALL OF THE TERMS AND CONDITIONS OF THIS NDA AND LICENSE IS A CONDITION OF YOUR RIGHT TO USE THE BETA SOFTWARE FOR TESTING PURPOSES ONLY.

\par \pard\li720\sb100\sa100 By installing the SOFTWARE, Cloudmark grants to you a non-exclusive, limited purpose license to use one copy of the SOFTWARE in object code form only, and the DOCUMENTATION, only as authorized in this LICENSE and NDA, and you hereby acknowledge and agree to the validity of this AGREEMENT and the terms and conditions contained herein, and agree to be bound hereto.
\par Subject to the terms and provisions set forth, the USER is willing to accept delivery of one or more such PRODUCTs (each a "Test Product") for the purpose of using and evaluating the same for a test period not to exceed ninety (90) days in the Test Product (a "Test Period").
\par Cloudmark authorizes the USER to use and evaluate the Test Product under the terms and conditions hereinafter contained in order to obtain user information pertaining to such Test Product which may be helpful to Cloudmark in making any changes, enhancements or modifications with respect thereto. The SOFTWARE may be used only on a single computer owned, leased or otherwise controlled by you. You may not use the SOFTWARE on any other platform, including, but not limited to, servers, except as expressly provided herein.
\par \pard\sb100\sa100\b 2. Ownership of Proprietary Rights and Grant.\b0
\par \pard\li720\sb100\sa100 Cloudmark does hereby grant to USER at no charge a nonexclusive, nontransferable right to use the SOFTWARE furnished in connection with or as the Test Product for the Test Period. This right shall terminate at earlier of: (i) the end of the Test Period; or (ii) the date Cloudmark determines in its sole discretion that either (x) the USER is not satisfactorily performing evaluations of the Test Product and reporting such evaluations to Cloudmark; (y) Cloudmark no longer has a need for user information from the USER regarding the Test Product; or (z) Cloudmark has learned that the terms of this agreement have been breached by USER.
\par You acknowledge and agree that the SOFTWARE and DOCUMENTATION are proprietary products of Cloudmark protected under United States copyright laws, other applicable copyright laws, and international treaty provisions. You further acknowledge and agree that the entire right, title and interest in and to the SOFTWARE and DOCUMENTATION, including associated intellectual property rights, shall remain with Cloudmark or its third party contributors. Cloudmark retains all rights not expressly granted. Subject to the Provisions of this Agreement, Cloudmark will furnish USER with updates and enhancements of the Test Product, if applicable, as and when the same are released. Nothing in this AGREEMENT obligates Cloudmark to create any such updates or enhancements.
\par \pard\sb100\sa100\b 3. Evaluation and Reports.\b0
\par \pard\li720\sb100\sa100 USER shall utilize and evaluate the Test Product and conduct such tests and evaluations as may be reasonably necessary to form an opinion concerning the performance of the Test Product. The USER shall provide Cloudmark with reports concerning its opinion and evaluation of the Test Product. USER shall consult with representatives of Cloudmark from time-to-time concerning the performance of the Test Product.
\par USER agrees that all right, title and interest to any reports, feedback or suggestions relating to the Test Product or any inventions relating to an improvement of the Test Product conceived in or made as a result of USER's performance of this AGREEMENT shall become the exclusive property of Cloudmark and that Cloudmark may disclose and use such information for any purposes whatsoever, entirely without obligation of any kind to USER.
\par \pard\sb100\sa100\b 4. Confidential Information and Data.\b0
\par \pard\li720\sb100\sa100 USER acknowledges that each Test Product consists of software which is proprietary and confidential to Cloudmark; and all rights, title and interest therein or thereto, including without limitation, all patents, copyrights, trademarks and trade secrets remain in Cloudmark. USER shall not disclose, directly or indirectly, or take any other action which would result in the unauthorized disclosure of any confidential or proprietary data whatsoever, including, but not limited to, reproduction of data furnished USER by Cloudmark.
\par The release of confidential information to USER does not constitute a commercialization of the Test Product, but rather is a release for testing purposes only. USER shall not disclose to any third party the terms of this Agreement nor the results of any USER evaluation hereunder except with the written consent of Cloudmark. USER shall, upon Cloudmark's request, certify in writing as to the return or destruction of all such confidential information.
\par For purposes of this AGREEMENT, "Confidential" or "Proprietary Information" shall include, but not be limited to, the Test Product, including its functionality, performance, business purpose, specifications, documentation, and the like, test results obtained by USER through use of the Test Product, any material data relating to use of the Test Product by USER, including but not limited to defects, deficiencies, errors, omissions, work-arounds, features, enhancements, updates, upgrades, and other information typically relating to unreleased versions of computer programs.
\par And any and all information, either written or oral, relating to the Test Product, including plans, business and financial information, which may, from time-to-time, be disclosed by Cloudmark to USER during the Test Period. It is understood by both parties that ANY information provided by Cloudmark during the Test Period to USER relating to the Test Product is Confidential and Proprietary Information of Cloudmark.
\par The parties shall use such Confidential and Proprietary Information only for the purpose set forth in Section Two above. USER shall make no other use of the Confidential and Proprietary Information, in whole or in part, without the specific prior written consent of Cloudmark. Accordingly, USER agrees not to make any commercial use of such Confidential and Proprietary Information, and USER shall not translate, copy, disassemble, reverse engineer, or decompile any Test Product, nor shall USER make copies or translations of any Test Product documentation. Furthermore, USER will not make any pre-release reports or give pre-release interviews concerning the Test Product or the Confidential Information without Cloudmark's prior written consent.
\par USER shall maintain Cloudmark's Confidential and Proprietary Information in strict confidence, shall limit internal disclosure of such Confidential and Proprietary Information to employees having a legitimate need to know, and shall exercise the same degree of care in protecting Cloudmark's Confidential and Proprietary Information as it exercises in protecting its own confidential and proprietary information. USER may make copies of the Test Product only to the extent necessary for the purpose of this Agreement, provided that USER shall also reproduce and include Cloudmark's trade secret, copyright, or other intellectual property rights notices on each such copy and include the legend "Test Product for Beta Purposes Only - Do Not Copy or Distribute."
\par Any other related materials supplied by Cloudmark, including Test Product documentation, may not be reproduced in any manner by USER. The original and all copies of Confidential and Proprietary Information shall remain the property of Cloudmark and shall be returned to Cloudmark upon demand.
\par \pard\sb100\sa100\b 5. Disclaimer of Warranty.\b0
\par \pard\li720\sb100\sa100 USER acknowledges that the Test Products have not been completely tested and will contain defects or deficiencies which cannot or may not be corrected. USER further acknowledges that use of the Test Products may involve the transmission, upload, download, translation or transfer of its data to a server or computer platform outside of USER's control, and some errors in the data may occur while transferring, transmitting or translating data while using the Test Products. Cloudmark cautions USER to determine for itself the suitability of the use of the Test Product for any purpose.
\par USER acknowledges that Cloudmark has no express or implied obligation to announce or introduce the Test Product or any similar or compatible product. USER acknowledges that all testing, research and development performed by it pursuant to this Agreement are done entirely at its own risk. ACCORDINGLY, CLOUDMARK MAKES NO REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE USE OR PERFORMANCE OF THE TEST PRODUCTS, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

\par \pard\li720\sb100\sa100 This AGREEMENT and the license contained herein shall not be assignable by the USER without the express written consent of Cloudmark. This Agreement, together with any other agreements or terms and conditions of use appearing or referenced on this site or in the Software represent the entire set of terms and conditions governing your use of this Software, and may not be amended or modified except by written consent of both parties. Any notices or other communication shall be addressed to the parties at the address shown above.
\par This AGREEMENT shall be governed by the laws of the State of California, United States of America, without regard to conflicts of law rules. This AGREEMENT will not be governed by the United Nations Convention on Contracts for the International Sale of Goods, the application of which is expressly excluded, nor shall the Uniform Computer Information Transactions Act ("UCITA") apply to this transaction. USER shall not use Test Products with knowledge or reason to know that they will be transported outside the country in which the USER's principal place of business is located.
\par In addition to the foregoing, and not in lieu thereof, USER agrees to comply with the export laws and regulations of the United States Government, or any other export laws, restrictions or regulations, as they apply to the exports of products and technical data from the United States and re-exports or transfers of products and technical data from other countries, and to furnish or complete such documentation as may be required. USER's obligations under Sections 3, 4 and 5 shall survive the termination of this Agreement and commercial release of the Test Product(s).
\par \pard\sb100\sa100\b 7. Consequences of Breach.\b0
\par \pard\li720\sb100\sa100 USER acknowledges that:
\par \pard\fi-360\li1440\sb100\sa100\tx720 a.\tab irreparable injury and damage to Cloudmark will result from unauthorized disclosure of the Test Product Confidential Information gleaned by USER through use of the Test Product, and from uses of the Test Products other as contemplated herein;
\par \pard\fi-360\li1440\sb100\sa100 b.\tab monetary damages may not be sufficient remedy for unauthorized disclosure of the Test Product;
\par c.\tab Cloudmark shall be entitled, without waiving any additional rights or remedies available to it at law, in equity, or by statute, to such injunctive or equitable relief as may be deemed proper by a court of competent jurisdiction; and
\par d.\tab USER's breach of this Agreement shall result in immediate termination of this Agreement and may be cause for exclusion in other Cloudmark sponsored BETA programs, among other remedies available to Cloudmark at law or otherwise.

\par This Cloudmark Software License and Service Agreement (the "Agreement") is a legal agreement between you, either an individual or a single legal entity ("You"), and Cloudmark, Inc. ("Cloudmark") that governs your acquisition and use of the Cloudmark Software and any accompanying documentation (the "Software") and access to, and use of the Cloudmark Services ("Services"). The Services provided to You under this service agreement is (A) for the free version which only includes anti-fraud functionality ("Free Services") and (B) for the full paid version which includes both anti-fraud and anti-spam functionality ("Paid Services").
\par You must accept the terms of this Agreement (including the terms of Cloudmark's Privacy Policy located on the Internet at \cf1\ul http://www.cloudmark.com/company/policies/privacy/\cf0\ulnone ) ("Privacy Policy")) before downloading, copying, or otherwise using the Software or accessing or using the Services. By clicking "ACCEPT" at the end of this Agreement, or by downloading, copying, or otherwise using the Software or Services, You are indicating that You have read and understood, and that You assent to be bound by, the terms of this Agreement. If You do not agree to the terms of the Agreement, You are not granted any rights whatsoever in the Software and must permanently delete all copies of the Software in your possession.
\par \pard\hyphpar0\sa240\tqc\tx4680 Third-party modules, primarily libraries from Microsoft\'ae, are bundled with the Software and are subject to separate license terms that are not covered under this agreement. Any such separate license terms are provided in a text file accompanying this individual third-party module.

Cloudmark or its service providers currently operate servers as part of the Services, with which the Software communicates as part of its ordinary operation. During the Term (as defined below), you may access the Services for the sole purpose of using the Software as described in the software documentation, and may not access the Services (or its associated database) with any other software, for any other purpose, or in any other manner. During the Term, you will be entitled to receive: (1) access to the Services; and (2) any Software upgrades that Cloudmark makes generally available to end users of the Software and Services.
\par \pard\sa240\qj\tx720\b\scaps 2.\tab License Grant for Software and Services. \b0\scaps0 Subject to the terms of this Agreement, Cloudmark grants to You, during the Term, a \cf2 personal, non-exclusive\cf0 , non-transferable license, without the right to sublicense, to install and execute the Software and use the Services, in accordance with its accompanying documentation solely for personal and non-commercial purposes. Individual licenses for Paid Services shall cover up to two (2) computers subject to full payment of any applicable software and service fees. Cloudmark may agree in writing (e.g. as may be indicated on a subscription registration form accepted by Cloudmark) to license the Software and Paid Services to you for use on more than two (2) computers, subject to your payment of additional fees and applicable additional terms described in such writing.
\par \pard\sa240\qj\b\scaps\caps 3.\tab\caps0 Restrictions on Use. \b0\scaps0 Except as expressly permitted in Section 2 (License Grant) (if at all), You may not (a) copy, translate, modify, create derivative works of, or otherwise use the Software, Services or any parts thereof, (b) distribute, sell, assign, pledge, sublicense, lease, loan, use for service bureau purposes, rent, or otherwise transfer the Software, Services or any parts thereof in any form to another person, (c) remove from the Software or Services, or alter, any of the trademarks, trade names, logos, patent or copyright notices or other proprietary notices or markings, or add any other notices or markings to the Software, (d) use the Software or Services to tamper with, spoof, or attempt to obtain unauthorized access to Cloudmark's servers or databases; (e) use the Software or Services in violation of any applicable laws in the jurisdictions in which you use the Services or Software; (f) attempt to, in conjunction with any device, software program or service, circumvent technological measures employed to control access to, or the rights in, the Service; or (g) permit any other party to do any of the foregoing. Cloudmark does not grant to You any express or implied licenses or rights to any enabling technologies or systems that may be necessary to use the Software.

Cloudmark reserves title and all right and interests in and to the Software and Services not expressly granted to You in Section 2 (License Grant), including without limitation all patent rights, copyrights, trademarks, trade names, trade secrets and other intellectual property and proprietary rights. There are no implied licenses under this Agreement, and all rights not expressly granted are reserved by Cloudmark.
\par \pard\sa240\qj\tx720\b\scaps\caps 5.\tab\caps0 Payments.\b0\scaps0 Following the expiration of a trial period that may be provided to you in the sole discretion of Cloudmark, if you subscribe to the Paid Services, you agree to pay Cloudmark or its designated representative, the service charges for your use of the Software and Paid Services, plus any applicable taxes, in accordance with the billing terms and prices in effect at the time the fee or charge becomes payable. Payments are billed in advance at the beginning of the applicable renewal period. All payments are completely non-refundable. If you elect to pay with a credit card, you authorize Cloudmark to automatically bill the charge card you provide for Paid Services for each renewal period, or withdraw funds via electronic transfer from your checking account (depending on what type of charge card you are using), until you terminate this Agreement; and you further agree to provide Cloudmark with a valid credit card and accurate, complete and updated information required by the subscription registration form. Failure to comply may result in the immediate termination of Services.
\par \pard\sa240\qj\tx720\tx1440\tx2160\tx2880\tqc\tx4320 You are responsible and liable for any fees, including attorney and collection fees, that Cloudmark may incur in its efforts to collect any remaining balances from you. You also agree that you will be billed for and will pay any outstanding balances and credit card fees upon termination of this Agreement. You agree to notify Cloudmark about any billing problems or discrepancies within 90 days after they first appear on your account statement. If you do not bring them to Cloudmark's attention within 90 days, you agree that you waive your right to dispute such problems or discrepancies.
\par \pard\sa240\qj\b\scaps 6.\tab User/Account Information.\b0\scaps0 You are responsible for maintaining the confidentiality of your password and account information. You are responsible for all activities that occur in your account and agree to notify Cloudmark immediately of any unauthorized account use. Cloudmark is in no way responsible for any loss that you may incur as a result of any unauthorized use of your user account and password.
\par In addition, during the Term Cloudmark may collect certain non-personally identifiable information ("Other Data"). For example, the Software regularly communicates information on spam blocked back to the Cloudmark servers as part of the Service\cf3 . \cf0 In addition, for purposes of monitoring and improving the accuracy of the Service, Cloudmark collects aggregate statistical information on its Service including total spam blocked, total messages processed, total messages unblocked and total spam reported. Cloudmark does not transmit or communicate any personally identifiable information as a result of these processes. Cloudmark shall be the sole owner of all Other Data collected during the Term.

\par \pard\sa240\qj\tx720\b\scaps\caps 9.\tab\caps0 Indemnification. \b0\scaps0 You agree to indemnify and hold Cloudmark harmless from and against all damages, liabilities, losses, costs and expenses arising from or relating to your use or misuse of the Software or the Services or Your breach of this Agreement.
\par \pard\sa240\qj\b\scaps\caps 10.\tab\caps0 Term and Termination.\b0\scaps0
\par 10.1\tab Term. Unless earlier terminated as specified in this Section 10, the term of this Agreement ("Term") will commence upon your clicking of the "Accept" button and will continue for the period of time you are a subscriber to the Services, which means the time period for which: (a) You are in a trial period for the Software and Services; (b) You have paid all applicable fees for the Software and Paid Services to Cloudmark in full, or (c) Cloudmark has agreed in writing to provide the Software and Services to you subject to your payment of fees in accordance with a pre-determined payment schedule (e.g. as may be indicated on a subscription registration form accepted by Cloudmark). You may use the Software and Free Service until terminated by you or Cloudmark as provided for in this Agreement.
\par \pard 10.2\tab Termination by You. You may terminate this Agreement by canceling the Services as provided for in this section. You will not receive any refund or partial refund for any charges already billed to your account. In the event you signed up for a minimum commitment period, you will be responsible for all charges for the entire minimum commitment period. You may cancel the Services by accessing your Cloudmark account by selecting the "My Cloudmark" menu option on the Cloudmark menu of the Software, or you may contact Cloudmark by phone at 1-415-543-1220; in which case this Agreement is terminated upon written verification received by you from Cloudmark of such cancellation of Services. SERVICE AGREEMENTS WITH INITIAL TERMS OF ONE YEAR OR MORE WILL AUTOMATICALLY RENEW FOR ADDITIONAL ONE YEAR TERMS UNLESS YOU TERMINATE THE SERVICE AGREEMENT PRIOR TO THE EXPIRATION DATE. You understand and agree that termination of this Agreement is your sole right and remedy with respect to any dispute with Cloudmark. This includes, but is not limited to, any dispute related to, or arising out of: (1) any term of this Agreement or Cloudmark's enforcement or application of this Agreement; (2) any policy or practice of Cloudmark, including any Cloudmark Privacy Policy, or Cloudmark's enforcement or application of these policies; (3) your ability to access and/or use the Service; (4) any Cloudmark software or services provided by or through Cloudmark; or (5) the amount or type of fees, applicable taxes, billing methods, or any change to the fees, applicable taxes, or billing methods.

\par \pard\sa240\qj 10.3\tab Termination by Cloudmark. Cloudmark may immediately terminate this Agreement and without prior notice take appropriate technical measures to effect such termination in the following cases: (a) You fail to comply with the terms of this Agreement (including the payment of fees when due); or (b) your use of the Software gives rise to any legal action against Cloudmark or its officers, directors, employees or agents. Any termination by Cloudmark pursuant to this section will be exercised without limiting any other rights or remedies of Cloudmark. Cloudmark reserves the right to terminate the Agreement with respect to the Software and Free Service at any time without prior notice to You.
\par 10.4\tab Additional Effects of Termination. \cf2 Upon termination of this Agreement, the license granted in Section 2 (License Grant) will terminate, You must immediately destroy \cf0 all copies of the Software in Your possession or control, and any and all outstanding fees will become immediately due and payable\cf2 . \cf0 Sections 3, 4, 7, 8, 9, 10.4, 11 through 13 of this Agreement will survive termination.
\par \b\scaps\caps 11.\tab\caps0 U.S. Government Use\scaps0 .\b0 The Software is a "commercial item" as that term is defined at 48 C.F.R. \'a7 2.101, consisting of "commercial computer software" and "commercial computer software documentation" as such terms are used in 48 C.F.R. \'a7 12.212. Consistent with 48 C.F.R. \'a7 12.212 and 48 C.F.R. \'a7\'a7 227.7202-1 through 227.7202-4, Cloudmark provides the Software to U.S. Government end users only pursuant to the terms and conditions herein.
\par \b\scaps\caps 12.\tab\caps0 Export Control.\b0\scaps0 You agree and acknowledge that the Software is subject to U.S. export control law, and You will comply with all applicable laws and regulations in Your use of the Software under this Agreement, including without limitation all export laws and regulations of the U.S. Department of Commerce and all other U.S. agencies and authorities, including the Export Administration Regulations promulgated by the Bureau of Industry and Security (as codified in 15 C.F.R. Parts \'a7\'a7 730-774). Without limiting the foregoing, You expressly agree not to export or re-export the Software in violation of such laws or regulations, or without all required licenses and authorizations.
\par \b\scaps 13.\tab Modifications or Amendment to Agreement (including Privacy Policy). \b0\scaps0 Cloudmark may modify the terms of this Agreement, including but not limited to the price, content and nature of Services or terms to access the Software, by providing notice to you of such change. Thereafter, Cloudmark at its sole discretion may elect to provide you with a to a pro-rata refund of certain fees paid by you. No modification or amendment to this Agreement by you will be valid unless signed by Cloudmark.
\par \b\scaps\caps 14.\tab\caps0 Miscellaneous.\b0\scaps0 Nothing contained herein will be construed to create any agency, employment, partnership, principal-agent relationship, or other form of joint enterprise between the parties. No waiver of the Agreement will be valid unless signed by each party. The waiver of a breach of any term hereof will in no way be construed as a waiver of any other term or breach hereof. The headings in this Agreement do not affect its interpretation. You may not assign or transfer any of your rights or obligations under this Agreement to a third party without the prior written consent of Cloudmark. Any attempted assignment or transfer in violation of the foregoing will be void from the beginning. Cloudmark may assign this Agreement without consent to any third party. If any provision of this Agreement is held by a court of competent jurisdiction to be unenforceable, the remaining provisions of this Agreement will remain in full force and effect. Notices to Cloudmark must be sent to the following address, and will be deemed effective three (3) days after certified mailing, return receipt requested: Cloudmark, Inc., 128 King St., 2\super nd\nosupersub floor, San Francisco, CA 94107; notices to You may be sent to the e-mail address that you furnished prior to downloading the Software, and will be deemed effective upon arrival at your e-mail server. This Agreement is governed by the laws of the State of California without reference to conflict of laws principles that would require the application of the laws of any other jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods is specifically disclaimed. All disputes arising out of this Agreement will be subject to the exclusive jurisdiction of the state and federal courts located in San Francisco County, \v Oregon,\v0 California, and the parties irrevocably consent to the personal and exclusive jurisdiction and venue of these courts. This Agreement (including the Privacy Policy and the subscription registration form (if applicable and upon acceptance by Cloudmark) is the final, complete, and exclusive agreement between the parties relating to the subject matter hereof, and supersedes all prior or contemporaneous understandings and agreements relating to such subject matter, whether oral or written, including, without limitation, the terms of any purchase order or other document submitted by You
